Terms of Service

These Terms of Service govern your access to and use of HandoverPoint, an online platform for managing construction project handovers, samples, approvals, and related registers. HandoverPoint is operated from Australia. By creating an account or using the service you agree to these terms. If you are agreeing on behalf of a company, you confirm you have authority to bind that company.
1. The service
HandoverPoint provides software that lets construction teams upload project documents, extract and track handover items, run defect audits, manage programmes, and control team access. We may add, change, or remove features over time. We aim to give reasonable notice of material changes that reduce core functionality.
2. Accounts and eligibility
You must provide accurate account information and keep your login credentials secure. You are responsible for all activity under your account. You must be at least 18 years old and use the service only for lawful business purposes. Notify us promptly at hello@handoverpoint.com.au if you believe your account has been accessed without authorisation.
3. Plans, trials, and billing
New organisations receive a 14-day free trial. After the trial you must subscribe to a paid plan to keep full access. Paid plans are billed in advance through our payment processor, Stripe. Prices shown on our pricing page are in Australian dollars and are inclusive of GST where GST applies.
Subscriptions renew automatically for the same period unless cancelled before the renewal date. You can manage or cancel your subscription at any time from the billing settings page, which opens the Stripe billing portal. Cancellation stops future renewals. Except where required by Australian Consumer Law, fees already paid are not refundable.
AI credit allowances and top-up packs are consumed as you use AI features and do not carry over between billing periods unless a plan states otherwise.
4. Your content and data
You retain ownership of the documents, project data, and other content you upload. You grant us a limited licence to host, process, and display that content solely to operate and support the service, including sending it to the subprocessors listed in our Privacy Policy. You are responsible for having the rights to upload your content and for its accuracy.
If your account is closed or your subscription ends, you may request an export of your data. We will make your data available for export for 30 days after termination, after which we may delete it in the ordinary course of operations.
5. Acceptable use
You agree not to misuse the service. This includes not attempting to access accounts or data that are not yours, not probing or disrupting our systems, not uploading malicious code, not reverse engineering the platform except to the extent permitted by law, and not using the service to break any law or infringe anyone's rights.
6. AI features
Some features use artificial intelligence to extract, summarise, or classify information from your documents. AI output can contain errors and is provided to assist you, not to replace professional judgement. You are responsible for reviewing AI output before you rely on it. We use trusted AI providers as subprocessors and do not sell your content.
7. Availability and support
We work to keep the service available and reliable, but we do not guarantee uninterrupted access. We may carry out maintenance and will try to schedule significant maintenance to limit disruption. Support is available by email at hello@handoverpoint.com.au.
8. Warranties and consumer guarantees
The service is provided on an as-is and as-available basis. Nothing in these terms excludes, restricts, or modifies any guarantee, right, or remedy you have under the Australian Consumer Law that cannot be lawfully excluded. Where our liability for a breach of a non-excludable guarantee can be limited, our liability is limited, at our option, to resupplying the service or paying the cost of having it resupplied.
9. Limitation of liability
To the maximum extent permitted by law, and subject to the consumer guarantees above, our total liability to you for any claim arising out of or in connection with the service is limited to the amount of fees you paid to us for the service in the 12 months before the event giving rise to the claim. We are not liable for indirect, consequential, or special loss, or for loss of profit, revenue, data, or goodwill.
10. Suspension and termination
You may stop using the service at any time. We may suspend or terminate your access if you materially breach these terms, if payment fails, or if we are required to do so by law. Where practical we will give notice and a chance to fix the problem before terminating.
11. Changes to these terms
We may update these terms from time to time. If we make a material change we will take reasonable steps to notify you, for example by email or an in-app notice. Continuing to use the service after a change takes effect means you accept the updated terms.
12. Governing law
These terms are governed by the laws of the State of Victoria, Australia. You and we submit to the non-exclusive jurisdiction of the courts of Victoria and the courts able to hear appeals from them.
